Binding Arbitration

If the parties are unable to resolve a Dispute through initial resolution attempts, then the Dispute shall be finally resolved by binding arbitration under the rules of the American Arbitration Association ("AAA") at the time in force. You understand that without this provision, you would have the right to sue in court with a jury trial.

The arbitration shall be conducted in King County, State of Washington, USA, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Each party shall bear its own costs (including attorney fees) and disbursements arising out of the arbitration, and shall pay an equal share of the fees and costs of the AAA.

Notwithstanding the foregoing, StrongEye Inc. may seek and obtain injunctive relief in any jurisdiction in any court of competent jurisdiction, and you agree that these Terms and Conditions are specifically enforceable by StrongEye Inc. through injunctive relief and other equitable remedies without proof of monetary damages.

You agree that the Federal Arbitration Act, applicable federal law, and the laws of the state of Washington, without regard to principles of conflict of laws, will govern this arbitration agreement.

Restrictions

The parties agree that any arbitration shall be limited to the Dispute between StrongEye Inc. and you individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

You agree that you may bring claims against StrongEye Inc. only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and StrongEye Inc. agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions to Informal Negotiations and Arbitration

The following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration:

  1. Intellectual Property Claims: Any claim related to infringement, misappropriation, or violation of StrongEye Inc.'s intellectual property rights.

  2. Equitable Relief: Any claim for equitable relief, including but not limited to temporary restraining orders, preliminary injunctions, or other similar relief, to protect StrongEye Inc.'s rights or interests pending the resolution of the Dispute.

  3. Small Claims Court: Any claim within the jurisdictional limits of a small claims court, provided that it is filed on an individual basis and is not part of a representative action.

  4. Court Proceedings: Any claim that may be brought in a court of law, if either party chooses to opt out of the informal negotiation and arbitration requirements stated above.

The parties agree that these exceptions to informal negotiations and arbitration shall be construed and enforced in accordance with the laws of the State of Washington, USA.
